In this client agreement, “KweeQ ”, “Kweeqpay”, “we” “us” and “our” refers to KweeQ Technologies Inc, together with its employees, directors, successors, and assigns. The terms “you” and “your” refer to you, the person who has registered to use some or all of the services described in the Agreement.
KweeQ Technologies Inc is a Canadian company, registered with Corporations Canada with a mailing address at First Canadian Place, 100, 1 King St W Suite 6200, 117 Richmond Street, Dartmouth, Nova Scotia, which owns and operates the Platform kweeqpay.
To provide these services to users, KweeQ technology is registered with the Financial Transactions and Reports Analysis Center of Canada as a money service business with registration number C1000000255 and registered with the Bank of Canada as a Payment service provider under the Retail Payments Activities Act (RPAA)
General Provisions
1.1 Contract
1.1.1 These terms and conditions have an impact on your rights, and it is important to read them carefully. By accessing and using the Kweeqpay application, you accept and agree to the terms and conditions outlined in this agreement. You must indicate your consent to this Agreement by ticking both the Terms and Conditions box and the “SUBMIT” or “ACCEPT” button, ensuring that all sections have been fully and accurately completed. Failure to do so may result in us being unable to provide you with the appropriate access.
1.2. Amending This Agreement
1.2.1We reserves the right to modify this Agreement at its sole discretion from time to time. You will be notified and given the opportunity to review any modifications before they take effect unless changes are required by law.
1.2.2. Unless otherwise specified by us, all modifications shall take effect automatically upon publication and become part of this Agreement. You will be notified of any changes to the terms and conditions immediately upon their implementation. By continuing to access or use Kweeqpay, you will be deemed to have agreed to accept and be bound by any modifications to this Agreement.
1.2.3. Changes to these terms and conditions will only be effective from the date they are made and will not alter the terms on which you previously used the Service.
You agree to use the Kweeqpay platform strictly for personal, internal, and non-commercial use. Third-party funding is not permitted. You can only initiate payment using a bank account or payment instrument issued by a Canadian institution under your name. The name must match the verified name within your Kweeqpay profile.
We reserve the right to reject any payment initiated from third parties. The Kweeqpay platform is licensed to you on a non-transferable or non-exclusive basis. You shall not rent, lease, sell, sublicense, lend, or engage in any act that violates our intellectual property in the Service. However, you may download, retrieve, and display the Service from the website on the computer screen, print individual pages on paper, photocopy, and store such pages in electronic form on disk, provided all intellectual property in the service continues to vest with us.
1.3 The elements of the website, including all parts of the Service (“Intellectual Property”), are owned by us and/or our suppliers and are protected by copyright and trademark laws, international treaty provisions, and these Terms of Use. Any reproduction, modification, copying, distribution, transmission, display, publishing, or redistribution of the Service is expressly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
2.1. Registration
2.1.1. All new users must sign up for a Kweeqpay account before using any services.
2.1.3. In compliance with Canadian Anti-Money Laundering laws, we are required to obtain, verify, and record information about you. Therefore, you agree to provide us with all relevant information and documents requested by us, as well as any other information prompted by the Service’s registration form. You also agree that all information provided to Kweeq at any time is accurate and current and that no material information has been withheld. You further agree to update any information immediately at the time of change to keep it accurate, current, and complete. Kweeq may lawfully conduct necessary investigations directly or through a third party to verify your identity as part of the registration process.
2.1.4. Furthermore, by entering into this agreement, you are consenting to Kweeq consulting KYC verification service providers to verify the information that you supply as part of opening an account.
WHERE INFORMATION PROVIDED IS MISREPRESENTED, OR WE HAVE GROUNDS TO SUSPECT THAT SUCH INFORMATION IS INACCURATE, NOT CURRENT, OR INCOMPLETE, KWEEQ RESERVES THE RIGHT AT ALL TIMES TO SUSPEND OR TERMINATE THE SERVICE.
2.2. Eligibility
To be eligible to register for and use our Kweeqpay services, you must:
Be at least 18 years old or of legal age.
Be a resident of Canada, physically located in Canada except in Quebec.
Intend to use the Kweeqpay platform for your own use and not on behalf of, or as an agent to, any other person or entity.
Not be a person listed on any sanctions list in Canada or any other country.
Not be a Politically Exposed Person as defined in Canada’s anti-money laundering/anti-terrorist financing legislation.
Meet Kweeq’s anti-money laundering standards applied at our sole discretion.
IT IS YOUR RESPONSIBILITY TO READ AND UNDERSTAND THE PARTNER TERMS BECAUSE THEY CONTAIN TERMS AND CONDITIONS CONCERNING YOUR KWEEQPAY ACCOUNT, INCLUDING BUT NOT LIMITED TO LIMITATIONS, REVERSALS, AND ARBITRATION PROVISIONS, AS WELL AS YOUR RELEVANT RIGHTS AND LIABILITIES.
3.1. Buyer( payer) : A buyer (payer) in a typical transaction is a user who is initiating a transaction intending to send payment to a seller in exchange for a product or service.
3.2. Seller (payee): A seller (payee) in a typical transaction is a user who Is a beneficiary of a transaction or payment from a buyer (payer) for rendering a product or service.
3.3 Interac transfer: Interac transfer, commonly known as an Interac e-Transfer, is a Canadian electronic funds transfer (EFT) service that enables individuals and businesses to send and receive money directly between Canadian bank accounts via email or mobile phone number. It’s widely used for secure and fast money transfers within Canada and is facilitated through participating Canadian banks and financial institutions.
3.4 Kweeqpay trust account: This represents the account where funds are securely held temporarily by Zum Rails on behalf of Kweeqpay.
3.5. Zum Rails: A payment gateway, a financial institution responsible for facilitating the payment processing, temporarily holding funds on behalf of Kweeqpay, and releasing funds to the payee after payer authorization
Kweeqpay enables secure, transparent transactions between buyers and sellers by creating a structured process with clear milestones and accountability. Below is an overview of how the transaction flow works on our platform:
4.1. Initiating a Secure Transaction Session
Either the buyer or seller begins the process by creating a secure transaction session on the Kweeqpay platform. During this step, the following details must be provided:
Once submitted, Kweeqpay generates a secure transaction invitation link that can be shared with the other party.
4.2. Buyer Makes Payment
After both parties accept the transaction session, the buyer is prompted to make payment. Payment is not processed within the Kweeqpay platform. Instead, the buyer will receive an Interac Request Money notification, allowing them to complete the transfer directly through their bank or mobile banking app.
4.3. Payment Confirmation
Once payment is received via Interac, Kweeqpay confirms receipt to both parties. At this point, the funds are securely held while awaiting fulfillment of the transaction terms.
4.4. Seller Delivers Product or Service
Following payment confirmation, the seller can proceed to fulfill the transaction:
If a registered courier service is used, Kweeqpay will track the delivery and provide real-time updates to both buyer and seller through the transaction dashboard.
4.5. Delivery and Buyer Review
Upon confirmation of delivery by the courier or manual update, both parties are notified. The buyer then has up to 24 hours to inspect the product or service and take one of the following actions:
5.1. Transaction Fees As a platform, Kweeqpay charges a non-refundable transaction fee for every transaction processed through our platform. This fee is paid by the buyer and is added to the final transaction price. The fee structure is as follows: See Pricing page for the full breakdown of our pricing.
5.2. Fee Calculation and Transparency Before completing any transaction, the exact transaction fee will be displayed to the buyer for review. By proceeding with the transaction, the buyer acknowledges and agrees to the fee as presented.
5.3. Non-Refundable Fees All transaction fees are non-refundable, even in cases where a transaction is canceled or disputed, unless otherwise determined by Kweeqpay at its sole discretion.
5.4. Unmatched Deposits If a user deposits funds into our accounts without initiating a corresponding transaction on the KweeqPay platform, the deposit will be deemed unmatched. Such unmatched deposits will be reversed to the originating account, less a $3.00 processing fee to cover administrative and transaction costs. We strongly advise users to initiate a transaction before making any deposit to avoid unnecessary fees or delays.
5.5. Updates to Pricing Policy Kweeqpay reserves the right to modify the transaction fee structure at any time. Any changes to the pricing policy will be communicated through email notification, and updates to this section of the terms and conditions, and will take effect immediately for new transactions processed thereafter.
Kweeqpay’s Referral Policy rewards users and sellers for bringing unique customers to the platform. The policy operates in two categories:

Kweeqpay supports two types of transactions, each tailored to meet the specific needs of our users. These are categorized as “Service” and “Products” transactions, with various subgroups to address the nature of the transaction and delivery method.

8.1 Shipment Tracking
For transactions involving courier delivery, buyers can track their shipments in real-time to monitor their delivery progress.
8.2. Who covers delivery costs?
We recommend that sellers cover the delivery cost, as buyers already bear the transaction fee. Sellers are also responsible for inputting the courier service’s tracking number. We have access to major courier companies and can track shipments from over 300 courier companies, ensuring reliable and efficient delivery services.
8.3. Delivery Responsibility and Support
Until delivery confirmation, the seller is responsible for the item. If a shipment is delayed despite evidence of being sent, the seller must contact the courier for resolution.
We supports this process, keeping both parties informed. However, we do not directly engage with couriers as we act solely as the secure intermediary, not the seller.
If, after a reasonable period, it becomes apparent that the buyer is unlikely to receive the item, we may, at our discretion and after informing the seller, refund the buyer.
In such cases, we advise the seller to seek compensation directly from the courier or delivery company. However, we do not assist in this process. Therefore, we strongly recommend that sellers use reliable courier services, require the recipient’s signature upon delivery, and review the compensation policy of the chosen service.
If a buyer notices that an item was damaged during transit, they should refuse delivery and immediately dispute the transaction through the kweeqpay platform. Upon confirmation with the delivery company, and seller, we will process a refund, deducting the non-refundable escrow fee.
In cases where the buyer has already accepted the delivery, they should initiate a dispute claim promptly to begin an investigation. Please refer to our 24-hour confirmation period article for detailed instructions.
If we determines that the buyer is entitled to a refund, less the Buyer Protection fee, we advise the seller to directly seek compensation from the courier or delivery company.
We’ve incorporated a 24-hour confirmation period into our platform, to safeguard the interests of both buyers and sellers. This period provides buyers and sellers with a medium to confirm or resolve any potential issues that may arise after the delivery of an item or service.
To protect buyers’ interests, we offer a 24-hour confirmation period after the delivery of an item or service, allowing them to confirm the product or service delivered.
Buyers can dispute a transaction through the Kweeqpay platform for one of the following reasons:
It’s important to note that we are not the merchant for your transaction, instead, we serve as a trust layer safeguarding the transaction process. Filing a complaint within this period is crucial to initiate the dispute process and ensure appropriate action can be taken.
10.1 How to Initiate a Dispute.
To initiate a dispute, log in to your Kweeqpay account and navigate to the active transactions section. Select the transaction you wish to dispute, and then choose the “dispute transaction” option. You will be prompted to provide as much detail as possible about the issue. Once you submit the request, it will be sent to our support team for review. The seller will also be notified of the dispute
By filing a dispute through this process, the transaction is automatically paused, and the funds are frozen until a resolution is made. If a buyer fails to file their dispute within the 24-hour confirmation period, the funds will be released to the seller automatically, at this point, we can no longer be held liable for the funds.
It is essential to gather evidence, such as screenshots, or photos, to support your dispute request. This evidence will allow our support team to assess the situation and make a fair decision
10.2 What happens next after a dispute is initiated?
Upon receiving a disputed transaction, our team will carefully analyze the provided evidence from both parties. We aim to resolve disputes within three business days, though more complex cases may require additional time. Buyers are expected to respond to our follow-up emails promptly and may be asked to provide relevant communication with the seller and supporting evidence, such as screenshots,or photos.
As a seller, you will be notified within the kweeqpay platform or contacted by our team. You are required to be responsive and provide the information requested. Maintaining transaction records, proof of postage, delivery or handover, and any evidence supporting your case, including communication with the buyer and relevant documentation, is crucial.
Kweeq always seeks to resolve complaints amicably by assisting both parties to reach an agreement. However, if no amicable solution can be found, Kweeq will request both parties to submit all evidence to support their claim. Our dispute team will then make a final, unbiased decision based on the evidence provided.
We stress the significance of transparent communication, timely complaint filing, and providing supporting evidence to facilitate a seamless dispute resolution process. Buyers can safeguard their interests by familiarizing themselves with the complaint period and following the required steps, while sellers can engage in a fair resolution process. Our commitment is to provide a secure environment and efficiently address complaints to uphold trust and integrity in online transactions.
10.3 How we handle “qualitative” disputes at scale
We focus on structured resolution, not subjective judgment. Our process relies on three key data points:
Agreement Evidence: what both parties agreed to upfront.
Delivery Evidence: what the seller submitted (proof of shipment, photos, etc.).
Dispute Evidence : what the buyer provides when raising an issue.
This framework allows us to objectively assess disputes, minimize operational load, and build toward automation.
In addition, we’re implementing a Trust Score system that tracks dispute frequency and patterns.
Users who consistently raise or attract disputes will be flagged and eventually offboarded to maintain platform integrity and protect genuine users.
If a formal complaint investigation results in a decision to refund the buyer and the goods can potentially be returned, we will inform the seller via email of our final decision before processing any refund.
The seller will be asked if they wish to arrange for the return of the goods. If the seller requests a return, they must provide the necessary information for the buyer to return the item via a registered courier, ensuring an official tracking number is associated with the delivery.
Returns tracking will occur via our app as usual, and once the item is confirmed delivered by the seller, refunds minus the protection fee will be released to the buyer. We are not responsible for any return costs except at our sole discretion.
If the seller opts out of a return, the refund, minus the non-refundable Buyer Protection fee, will be issued to the buyer immediately.
A Buyer cannot cancel a payment once it has been accepted by a seller. However, when certain conditions are met (details below), the Buyer or the Seller can cancel the entire transaction. When a transaction is canceled, the funds are returned to the Buyer, less the non-refundable transaction fee
Circumstances in which a transaction can be canceled:
Before the transaction has been accepted by the seller: As long as the transaction has not been joined and accepted by the seller, buyers can cancel the transaction, and receive refunds less the non-refundable transaction fee.
Before an item has been marked as shipped: In certain cases, transactions can be canceled if the seller confirms items haven’t been shipped and accepts the cancellation request from the buyer.

We are not liable for any breach of the Terms where the breach is due to abnormal and unforeseeable circumstances beyond our control, the consequences of which would have been unavoidable despite all effects to the contrary, nor are we liable where the breach is due to our legal obligations.

We reserve the right to amend these Terms. Changes will be communicated via email or through our platform. Continued use of Kweeqpay services following any update constitutes acceptance of the revised Terms.
